These Terms and Conditions govern access to and use of the B2B functionality of novaluce.com and the submission of business orders through the Nova Luce platform.

2. Scope

These Terms and Conditions apply to business customers, their authorized representatives, and authorized users who access the Nova Luce B2B platform or submit orders through it.

The public website is provided for general information. The B2B ordering functionality is intended only for business use and not for consumer purchases.

3. Access to the B2B platform

Access credentials are issued by Nova Luce to established business customers. Customers are responsible for ensuring that login details are kept confidential and used only by authorized persons.

Nova Luce may suspend, restrict, or revoke access where necessary for security, maintenance, breach of these Terms and Conditions, non-payment, misuse, or operational reasons.

4. Product information

Product descriptions, images, specifications, dimensions, availability information, technical documents, and other content published on the website are provided for general information only.

Nova Luce makes reasonable efforts to ensure accuracy, but reserves the right to correct errors, update specifications, discontinue products, and modify product information without prior notice.

5. Orders

Orders submitted through the B2B platform, by email, or by other accepted business channels are considered requests to purchase and are subject to review and acceptance by Nova Luce.

Submission of an order does not automatically create a binding obligation on Nova Luce to supply the products. An order becomes binding only when expressly accepted by Nova Luce or when otherwise confirmed in accordance with the applicable commercial process.

Nova Luce reserves the right to refuse, cancel, or adjust an order in cases including product unavailability, pricing or technical errors, suspected misuse, credit issues, or other legitimate business reasons.

6. Prices and taxes

Unless otherwise stated, prices are business prices and may be subject to applicable taxes, duties, transport costs, handling costs, or other charges.

Final pricing, taxes, and applicable charges may be confirmed separately in quotations, order confirmations, invoices, or other commercial documents.

7. Payment terms

No online payment is processed through the website. Payment terms are agreed separately between Nova Luce and the business customer and may be reflected in invoices, commercial agreements, or account arrangements.

Failure to comply with agreed payment terms may result in suspension of deliveries, withholding of order acceptance, restriction of platform access, or other lawful remedies.

8. Delivery and availability

Delivery times, availability, shipping arrangements, and dispatch schedules are indicative unless expressly agreed otherwise in writing.

Nova Luce shall not be liable for delays caused by events outside its reasonable control, including supply chain disruption, transport issues, customs delays, force majeure events, or actions of third parties.

9. Inspection and reporting of issues

The business customer is expected to inspect delivered goods within a reasonable time after receipt.

Any visible shortage, damage, error, or defect should be reported to Nova Luce in writing without undue delay, together with sufficient supporting details to allow assessment of the issue.

10. Intellectual property

All intellectual property rights relating to the website, platform, product documentation, catalogs, technical materials, images, trademarks, logos, and commercial materials remain the property of Nova Luce or the relevant rights holder.

No right, title, or license is granted except to the limited extent necessary for legitimate business use of the website and platform.

11. Acceptable use

Users must not misuse the website or B2B platform, interfere with its operation, attempt unauthorized access, use automated extraction tools without permission, transmit malicious code, or use the platform in any unlawful or harmful manner.

Nova Luce may investigate misuse and take appropriate technical, contractual, or legal action.

12. Warranty and returns

Warranty matters are governed by the applicable Warranty Policy and returns-related matters are governed by the applicable Returns Policy, unless otherwise agreed in writing between Nova Luce and the business customer.

Any manufacturer-specific terms, project-specific terms, quotation-specific terms, or separately agreed contractual conditions may also apply where relevant.

13. Limitation of liability

To the fullest extent permitted by law, Nova Luce shall not be liable for indirect, incidental, special, consequential, or loss-of-profit damages arising from the use of the website, platform, or any delay, error, or interruption in service.

Nothing in these Terms and Conditions excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

14. Governing law and jurisdiction

These Terms and Conditions are governed by the laws of Greece.

Any dispute arising out of or in connection with these Terms and Conditions shall be subject to the competent courts of Greece, unless mandatory law provides otherwise.
